Terms of Service

General Provisions

These Terms of Service set out the general principles governing the relationship between DVbit and the Client when providing website development, e-commerce development and other digital services.

The specific scope of work, price, deadlines, payment terms and other individual conditions of each project are set out in the proposal provided to the Client, the order, or a separate agreement.

If the provisions of an individual proposal or agreement differ from these general terms, the individually agreed terms shall apply to the relevant project.

These terms should be read together with our Privacy Policy and Cookie Policy.

Services and Project Scope

DVbit provides website development, e-commerce development, programming, automation, security and other services related to the creation, implementation, support and development of digital solutions.

The functionality, technologies, project stages and final deliverables of a specific project are defined in the individual proposal or agreement.

Work, features or services that are not clearly specified in the approved proposal or otherwise agreed with the Client in writing are not included in the project scope.

Additional requests made by the Client during the project may be considered additional work and may affect the project price and delivery schedule.

Project Commencement and Payments

Project Approval

A project is considered approved when the Client electronically approves the submitted proposal, signs an agreement, or confirms the service order in another manner agreed with DVbit and makes the agreed initial payment.

Payment Terms

The project price, payment stages, deadlines and the amount of any advance payment, where applicable, are specified in the individual proposal or agreement.

If an agreed payment is not received on time, work on the project may be temporarily suspended until the payment is received. As a result, the project completion date may be adjusted accordingly.

Additional Costs

Fees for domains, hosting, paid plugins, licences, third-party platforms or other external services are included in the project price only if this is clearly stated in the proposal.

Client Responsibilities and Project Changes

Provision of Required Information

The Client agrees to provide, in a timely manner, all information, texts, images, logos, technical access details, approvals and other materials required for the implementation of the project.

If the Client delays providing information, approvals or feedback, the project schedule may be extended accordingly.

Client-Provided Content

The Client is responsible for the legality of the materials they provide and confirms that they have the right to use and provide the texts, images, logos, trademarks and other content supplied for the project.

Changes to the Project Scope

Requests submitted after the project scope has been approved that alter the agreed design, functionality, structure, integrations or technical requirements may be considered additional work.

Before significant additional work is carried out, its scope, price and potential impact on the project schedule will be agreed with the Client.

Project Suspension or Termination

If the Client decides to terminate a project that has already commenced, the Client must pay for the work completed up to the date of termination and any project-related third-party costs that have already been incurred and are non-refundable, unless otherwise specified in an individual agreement.

Intellectual Property

Final Deliverables Created for the Client

Rights to final project deliverables created specifically for the Client and specified in the agreement are granted or transferred in accordance with the terms of the individual proposal or agreement once the agreed payments have been made.

Client Content

The Client retains the rights to the content, trademarks, logos, texts, photographs and other materials that belong to the Client and have been provided by them.

General Components and Technologies

DVbit retains the rights to general working methods, software code components, templates, tools, supporting systems, technical solutions and general professional know-how created before the project or used independently, unless otherwise specified in an individual agreement.

Open-source software, libraries, fonts, plugins, platforms and other third-party components are used in accordance with their respective licences and terms of use.

Project Showcase

Unless confidentiality or other restrictions have been agreed with the Client, a publicly launched project may be presented in the DVbit portfolio or other materials showcasing our professional work.

Project Process, Revisions and Handover

Project Stages

The project stages and their sequence are determined according to the scope of the specific project and, where applicable, are specified in the individual proposal or agreement.

Revisions

The number or scope of revisions included in the project price is specified in the individual proposal. Additional revisions or changes that fall outside the agreed project scope may be subject to additional charges.

Project Approval

A completed project stage or final deliverable is submitted to the Client for review. The Client provides comments or approves the result in accordance with the individually agreed project process.

Project Handover

The agreed final project files, access details and other deliverables are provided to the Client to the extent and in the manner specified in the individual proposal once the agreed payments have been made.

Working files, interim files, source files or other files used during project development are provided only if their delivery is included in the agreed project scope.

Following the final project handover, the Client should ensure the secure storage of the data, files and access details provided to them unless maintenance or backup services have been ordered separately.

Liability and Warranties

Delivery of Agreed Functionality

DVbit undertakes to perform the work professionally and aims to ensure that the final result conforms to the project scope agreed in the individual proposal or agreement.

Warranty Work

If a warranty period is established for a specific project, its duration and conditions are specified in the individual proposal or agreement.

Warranty work does not include the development of new functionality, additional Client requests or other work that was not included in the original agreed project scope.

Limitations of Liability

DVbit is not responsible for disruptions or losses resulting from circumstances that we cannot reasonably control, including third-party service failures, improperly used or lost Client access details, changes made by the Client or other service providers, and failures of external infrastructure.

Liability relating to project performance and any potential losses is determined in accordance with the individual agreement and applicable law.

Our website may only be used for lawful purposes and in a manner that does not infringe the rights of others.

When using the website, it is prohibited to:

  • Copy, distribute or use website content for commercial purposes without permission where such use is not permitted by applicable law.

We reserve the right to restrict access to the website if it is used unlawfully, with the intention of causing harm to the website or infringing the rights of others.

Third-Party Services, Hosting and Maintenance

Third-Party Services

Projects may use third-party platforms, libraries, plugins, APIs, payment services, hosting services, email services, analytics services or other external services.

Such services are subject to the respective providers' terms of use, licensing, pricing and privacy terms. DVbit does not control the operation, pricing or changes to the terms of third-party services.

Hosting and Domain

Website hosting, domain registration or administration are included in the scope of services only if this is clearly specified in the individual proposal or agreement.

Maintenance and Updates

Technical maintenance, software updates, backups, security monitoring, content changes and other ongoing services following project handover are provided only if they are included in a separate maintenance plan or another agreement.

If ongoing maintenance has not been ordered, following project handover the Client is responsible for website administration, updates, backups and maintaining the validity of the services or licences in use.

Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the Republic of Lithuania.

In the event of a disagreement, the parties will first seek to resolve it through negotiation.

If an agreement cannot be reached, the dispute will be resolved in accordance with the laws of the Republic of Lithuania before a competent authority or court, without prejudice to any mandatory rights applicable to consumers.

If any provision of these terms is found to be invalid or unenforceable, this will not affect the validity of the remaining provisions.

Changes to These Terms

These Terms of Service may be updated periodically to reflect changes in our services, business processes, technologies used or applicable laws.

When these terms are updated, a new last updated date will be shown at the top of this page.

Projects already in progress and agreements already concluded remain subject to the terms agreed at the time they were entered into, unless the parties agree otherwise or changes are required by applicable law.
